Polpharma completes €270 million acquisition of Romania’s Biofarm in one of the country’s largest public M&A deals

Polpharma, Poland’s largest pharmaceutical manufacturer, completed the acquisition of Biofarm, one of Romania’s oldest drugmakers, in a transaction valued at approximately RON 1.36 billion (€270 million).

The deal ranks among the largest public M&A transactions on the Bucharest Stock Exchange in recent years and represents one of the most significant acquisitions in Romania’s pharmaceutical sector history.

Founded in 1921, Biofarm is one of Romania’s longest-established pharmaceutical companies and a familiar name on the Bucharest Stock Exchange. The company operates two manufacturing facilities, exports medicines across Europe and Asia and markets a portfolio of more than 200 products covering multiple therapeutic areas.

Following completion of the transaction, Szymanek and Tamás Uri, Managing Director for Central and Eastern Europe at Polpharma, will join Biofarm’s Board of Directors.

Founded in 1935, Polpharma has grown into Poland’s largest pharmaceutical company and one of the leading pharmaceutical manufacturers in Central and Eastern Europe. The privately owned group develops, manufactures and markets prescription medicines, over-the-counter products, active pharmaceutical ingredients (APIs) and innovative healthcare solutions.

The company’s manufacturing facilities produce and distribute approximately 400 million packs of medicines every year, supplying both domestic and international markets.

One of Romania’s biggest capital market transactions

The acquisition was carried out through a voluntary takeover bid priced at RON 1.3790 per share, following approval by Romania’s Financial Supervisory Authority (ASF).

The transaction stems from an implementation agreement signed on 6 May 2026 between Polpharma, Longshield Investment Group and Lion Capital. Under the agreement, the two investment groups, together holding approximately 88.4% of Biofarm’s share capita, committed to tender their shares into the offer.
